Terms of Service.

These Terms of Service govern your use of gemarix.com and any business relationship with Gemarix Worldwide Pvt Ltd ("Gemarix", "we", "us", or "our"). By using our website or engaging in business with us, you agree to these terms.

1. Who we are

Gemarix Worldwide Pvt Ltd is a private limited company incorporated under the Companies Act, 2013, with its registered office in Udaipur, Rajasthan, India. We export natural stone — marble, granite, sandstone, limestone, and onyx — from Indian quarries to international buyers.

2. Your use of this website

You may browse our catalog, request samples, and submit inquiries. You may not:

• Scrape, copy, or republish our content without written permission.
• Use the website to send spam, malicious code, or anything unlawful.
• Attempt to access systems or data that are not made publicly available.
• Misrepresent your identity or impersonate another party.

We may suspend or block access without notice if we believe these terms are being violated.

3. Natural stone — important characteristics

Natural stone is a product of nature. Color, veining, pattern, and tone vary from block to block, slab to slab, and even within a single slab. Photos on this website, in our catalog, and on samples are representative — they are not a guarantee of an exact match.

For any order, we recommend reviewing photographs of the actual production slabs before shipping, which we provide. Final acceptance is on the slab inspection, not on catalog images.

4. Quotations, orders, and prices

• Quotations are valid for the period stated on the quotation document (typically fifteen days unless extended in writing).
• Prices are FOB Mundra or Nhava Sheva unless otherwise stated. Incoterms 2020 apply.
• A quotation does not constitute a binding offer. An order is binding only when confirmed in writing by both parties and the agreed payment terms have been met.
• We reserve the right to decline an order without giving reasons, in which case we will refund any advance received.

Payment terms (default)

• First order: 30% advance payment with order confirmation, 70% against scanned Bill of Lading.
• Established customers: Letter of Credit at sight, or 30-day terms, as agreed in writing.
• All bank charges outside India are borne by the buyer.

5. Delivery, shipping, and lead times

Detailed terms are in our Shipping Terms. In brief:

• Standard lead time: eighteen to twenty-five days from order confirmation to vessel loading.
• Custom cuts and specifications: thirty to forty days.
• We provide weekly progress updates.
• Ports of departure: Mundra (primary), Nhava Sheva (JNPT), Chennai.
• We supply full export documentation within forty-eight hours of vessel departure.

6. Inspection, quality control, and claims

• Three-stage quality control: at the quarry, after cutting, and before packing.
• Pre-departure photographs of every container are shared with the buyer before the seal.
• Damage claims must be raised within seven days of arrival, with clear photographs, the pre-departure photo reference, and the container number.
• Genuine supplier-fault damage will be replaced or credited at our cost.
• Damage caused in transit by the shipping line, port handling, or weather is the responsibility of the buyer's marine insurance, except where we have agreed CIF or DDP terms that include insurance.

7. Samples

Samples are 10×10 cm to A4 size, supplied at nominal cost (typically USD 15 to 30 per piece) plus actual air freight. Sample cost is 100% credited against your first container order with us. Samples are intended for evaluation only and may not be resold.

8. Intellectual property

All content on this website — text, photographs, logos, the name "Gemarix" and related branding, the catalog structure — is the property of Gemarix Worldwide Pvt Ltd or used under license. You may not reproduce or republish this content without written permission. Catalog photographs may be shared with you on request for legitimate evaluation purposes.

9. Confidentiality

In the course of a business relationship, we may share with you and you may share with us information that is non-public (prices for specific orders, project drawings, customer lists). Both parties agree to use such information only for the purpose of the transaction and not to disclose it to third parties without consent.

10. Limitation of liability

To the maximum extent permitted by law:

• Our total liability for any claim arising from a transaction is limited to the value of that transaction.
• We are not liable for indirect, consequential, or punitive damages, including loss of profit, loss of business, or delays in your project.
• Nothing in these terms limits our liability for fraud, willful misconduct, or matters that cannot be excluded by Indian law.

11. Force majeure

We are not responsible for delays or non-performance caused by events outside our reasonable control: natural disasters, government action, port strikes, fuel or container shortages, public health emergencies, war, or similar events. We will notify you promptly and work with you to find a reasonable resolution.

12. Governing law and disputes

These terms are governed by the laws of India. Any dispute arising out of or in connection with these terms or any transaction will be subject to the exclusive jurisdiction of the courts of Udaipur, Rajasthan, India.

The parties agree to attempt good-faith negotiation before any litigation.

13. Changes to these terms

We may update these terms from time to time. The "Effective" date at the top tells you the current version. Material changes affecting an active customer relationship will be communicated by email.
